XIIlab approves KRW 10 billion convertible bond to expand AI data center business – Unite.AI
South Korean AI infrastructure company XIIlab revealed in a regulatory filing dated November 6, 2026 that its board of directors has approved a KRW 10 billion privately placed convertible bond for its AI data center business. Underwriting and cash payment are scheduled for November 16, 2026, so the disclosure records an approved financing, not a completed raise.
XIIlab’s announcement links proceeds to working capital for building GPU clusters and a broader operating model. The company plans to apply its AstraGo software to the infrastructure it builds, pursue operations and management contracts, and generate recurring revenue alongside construction work.
Bond Terms and Redemption Options
The first series bonds are bearer, unsecured and privately placed, with the entire amount classified as working funds. Both the coupon and interest rate at maturity are 0%, no separate interest is paid prior to maturity, and the principal is redeemable at 100% of the electronically recorded amount on November 16, 2031. Bonds held to maturity therefore retain a full repayment obligation despite the absence of coupons and interest at maturity.
The conversion is set at KRW 8,106 per share and, if exercised in full, would produce 1,233,654 registered ordinary shares. Investors can apply for conversion from November 16, 2027 to October 16, 2031. The notes exclude a share price decline readjustment provision, although separate adjustments apply to specific corporate actions, including below-market share issuance, mergers, capital reductions, stock splits and consolidations.
XIIlab or its designee may call up up to 50% of each investor’s original subscription, limited to KRW 5 billion in total, on quarterly dates from November 16, 2027 to November 16, 2028. The company presents this option as a way to reduce potential dilution if its share price rises. Investors have a counterbalancing put: they can request 100% early redemption starting May 16, 2029 and subsequent quarterly dates. Taken together, the provisions balance the potential dilution of capital against a call option by the company and preserve the ability for creditors to seek cash repayment before maturity.
Political funds and spending program
Expected subscriptions include KRW 8 billion from sub-funds of the National Growth Fund managed by Korea Investment Value Asset Management, DB Asset Management, Susung Asset Management and Orion Asset Management, and KRW 2 billion from other funds managed by Orion. XIIlab characterizes the National Growth Fund as a policy vehicle created to promote advanced strategic industries including artificial intelligence, semiconductors and biotechnology, and places AI infrastructure-related businesses among the fund’s primary investment objectives.
The spending program allocates KRW 5 billion to 2027 and KRW 5 billion to 2028 and thereafter, all for AI data center-related activities. XIIlab said it is securing working capital to build ahead of expected demand for the latest GPUs, including Vera Rubin, and plans to expand GPU cluster construction in its role as an NVIDIA Elite partner.
AstraGo’s role in recurring revenue
XIIlab’s AstraGo product documentation describes a Kubernetes-based platform for allocating GPU resources, running training and inference workloads, and managing resources and workloads in a single environment. Supports existing NVIDIA GPU servers and specified Furiosa and DeepX NPUs, multi-server clusters, and on-premise or closed network deployments. Pricing combines an annual subscription license with a per-node server installation cost, giving the operational plan a subscription-based business structure.
XIIlab launched AstraGo 2.1 on April 1, 2026, saying the release partitions a physical GPU between isolated inference workloads, runs training and inference in the same cluster, prioritizes resources for real-time inference, and separates allocation and usage histories by organization or service in a multi-tenant structure. These are the operational functions that XIIlab intends to further develop by adding data center management activities.
The funding connects XIIlab’s GPU cluster construction pipeline with an AstraGo-based operating model built around annual subscriptions and ongoing management work. The central question for its medium-term direction is whether the project asset becomes recurring operating income as the company manages the dilution and cash redemption choices embedded in the bonds.
