Agility Robotics Expects $465 Million Gross Capital Raise Before SPAC Closing – Unite.AI

Agility Robotics, a humanoid robotics company, and Churchill Capital Corp The companies said the expected figure follows the expiration of Churchill XI’s redemption deadline.

Composition of the expected increase of $465 million

The announcement divides the planned gross capital increase into three components. Approximately $164 million is expected to come from the Churchill XI trust account and approximately $201 million from a committed common stock PIPE at $10 per share, led by Foxconn with participation from existing and new institutional investors. An additional $100 million represents equity financing that Agility has already received following the business combination announcement.

The companies said Agility is expected to enter the public markets well-capitalized to execute planned investments in business expansion and to support growing customer demand.

The announcement named NVIDIA, Amazon, SoftBank Vision Fund 2, Schaeffler, Foxconn, Abico, DCVC and Playground Global among Agility’s investors and strategic partners in the AI, technology, venture capital and industrial ecosystem sectors.

Shareholder vote, closing and listing on Nasdaq

The business combination and related PIPE financing are expected to close on November 4, 2026, subject to approval by Churchill XI shareholders at an extraordinary general meeting scheduled for November 2, 2026 and the satisfaction of customary closing conditions. The proposed transaction will be submitted to Churchill XI shareholders for consideration.

Following the closing, the combined company will operate as Agility Robotics, and its common stock is expected to begin trading on the Nasdaq Stock Market on November 5, 2026. The companies said the transaction is expected to create the only publicly traded U.S. pure-play humanoid robotics company with active, proven commercial deployments.

All existing Agility shareholders will transfer their equity into the combined company and will be subject to a 180-day lock-up at closing, which the companies say demonstrates strong alignment with public shareholders.

Shareholders who have previously submitted redemption requests may withdraw them at any time prior to the scheduled vote by submitting a written reversal request to Churchill XI’s transfer agent, Continental Stock Transfer & Trust Company. The request must include the legal name, telephone number and address of the beneficial owner of the shares and the number or percentage of shares for which cancellation is requested. Shareholders who hold their shares in street name should instruct a sales manager at their bank or brokerage to request the reversal from the transfer agent.

The announcement also summarizes commercial updates released by Agility on October 26, 2026: an expansion of its relationship with GXO to deploy Digit at two additional facilities, a commercial agreement with AGCO for a manufacturing pilot planned for 2027, and three additional manufacturing customers participating in paid programs. Agility described an active pipeline of more than 30 potential customers in the manufacturing, automotive, aerospace, defense, logistics and consumer products industries, which it characterized as reflecting demand for humanoid robots that automate repetitive, physically demanding jobs that can be difficult to address with traditional robotics.

According to the company, Digit 5, unveiled on September 15, 2026, is designed to work safely alongside people and to support a wider range of industrial workflows. Agility said it is on track to begin deliveries of the Digit 5 to early access customers in the first half of 2027, with general availability expected in late 2027.

Agility previously disclosed more than $300 million in committed multi-year orders for Digit 5. The announcement states that the figure represents potential multi-year value expected to be realized over time, subject to meeting contractual milestones, product features and specifications, and does not represent current period revenue.
