SWI Group gets €800 million from institutions for €6.1 billion valuation for transatlantic AI development – Unite.AI
SWI Group announced on October 12, 2026, an €800 million capital raise with institutional investors at a final valuation of €6.1 billion, a transaction that the company says will accelerate the expansion of its transatlantic AI infrastructure and computing platform.
The capital increase is achieved through the issue of new ordinary shares by SWI Capital Holding Ltd., the holding company of the SWI Group listed on Euronext Amsterdam, issued in different series and increasing the total share capital to 558,399,385 ordinary shares. According to the company’s announcement, the transaction brings the total capital raised since March 2026 to over €1 billion.
Transaction Terms
SWI said the capital raise materially strengthens its balance sheet and provides additional financial capacity to execute its large-scale growth strategy, including further investments in artificial intelligence and increasing its stake in existing investments. The company also said the deal broadens its institutional shareholder base while improving market liquidity by increasing free float to around 20% of share capital.
As part of the deal, some investors are granted options in relation to their shares, conditioned on achieving milestones in the equity capital markets. The statement said it contains information that is or may constitute inside information under the European Union’s Market Abuse Regulation, which requires listed companies to publicly disclose inside information.
Declared use of proceeds
The proceeds will support the development and scaling of the Group’s data center and artificial intelligence computing capacity, including energy infrastructure, computing deployments and the execution of its development pipeline on both sides of the Atlantic, the company said.
“This transaction aims to stay ahead of the computer and data center markets. We have a clear strategy, a substantial pipeline and a strong position in Europe and the United States,” said Max-Hervé George, founder and CEO of SWI Group. He added that the Group is pleased to welcome new investors who share its long-term ambitions.
Previous capital increase
The October transaction follows a €260 million private placement announced on March 20, 2026, when SWI entered into binding agreements with its founder and majority shareholder, Max-Hervé George, and co-investor and existing shareholder Aliya Fund Limited. The placing was split equally between the two investors at a subscription price of €5.20 per share, with the shares issued on the same day.
The March announcement said the proceeds were intended to partly finance the acquisition of a significant stake in a U.S. data center company, identified as TargetCo, and for general corporate purposes. This plan was first disclosed on February 24, 2026. Under the agreements, each investor received a conditional right to partially redeem their capital in a special liquidity event tied to TargetCo. The issuance of shares to the founder, together with the conditional right, constitutes a substantial related party transaction and has been approved by the SWI board of directors.
Creation of the digital infrastructure
The capital increase also follows a strategic shift that the Group detailed on 25 August 2026, when it confirmed that more than 80% of its capital was allocated to a transatlantic digital infrastructure platform with a combined electricity capacity in excess of 4 GW. The Group has declared its intention to increase this share to over 90% over time.
In that announcement, SWI confirmed the completion of the acquisition of a controlling interest of more than 70% in Genesis Digital Assets, which will be renamed SWI Digital and will serve as the Group’s US-focused digital infrastructure platform. Morgan Stanley & Co LLC acted as exclusive financial advisor in the acquisition. The company described the unit as holding an energized, grid-connected land bank, giving it a scaled foothold in the U.S. market for artificial intelligence and high-performance computing capability.
According to the release, SWI’s European platform, AiOnX, is developing a portfolio of hyperscale, AI-ready data center campuses in Ireland, the United Kingdom, Denmark, Spain and Italy, with one site already secured by a hyperscale anchor tenant.
In addition to land, power and data center capacity, the Group said it will internally develop a proprietary AI-cloud platform designed to provide GPU-accelerated processing to enterprises, research institutions and artificial intelligence developers. The combination of AiOnX and Genesis Digital Assets’ energized sites with the Group’s high-performance computing layer gives SWI what it describes as a vertically integrated digital infrastructure stack.
The August release also revealed that SWI and Polarize had mutually agreed not to complete the originally proposed transaction. Instead of purchasing a majority stake in Polarise, SWI will provide financing to accelerate Polarise’s expansion, keeping the two entities separate. The Group expects to achieve double-digit balance sheet growth in 2026.
